Terms of Service

These Terms of Service (“Terms”) govern your access to and use of AmyloidOps (the “Service”), a clinic operating system for anti-amyloid immunotherapy program management, provided by AmyloidOps (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and Access

The Service is available exclusively to authorized personnel of healthcare organizations that have entered into a subscription agreement with AmyloidOps. Access is granted by your organization’s administrator and is subject to role-based permissions. You must be at least 18 years of age and authorized by your organization to use the Service.

2. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying your organization’s administrator immediately of any unauthorized use of your account
  • Ensuring that your use of the Service complies with all applicable laws, regulations, and your organization’s policies

You must not share your credentials, access the Service from unsecured devices or networks, or attempt to access data or features beyond your authorized role.

3. Acceptable Use

You agree not to:

  • Use the Service for any purpose other than managing anti-amyloid immunotherapy programs within your authorized scope
  • Access, modify, or delete data you are not authorized to view
  • Attempt to reverse engineer, decompile, or disassemble the Service
  • Introduce malicious code, viruses, or other harmful material
  • Use the Service to transmit unsolicited communications
  • Circumvent or disable any security features or access controls
  • Use automated tools to scrape, crawl, or extract data from the Service

4. Medical Disclaimer

The Service is a clinical workflow management tool and does not provide medical advice, diagnoses, or treatment recommendations.

All clinical decisions, including but not limited to patient eligibility assessments, infusion clearances, therapy modifications, and MRI interpretations, remain exclusively the responsibility of licensed healthcare professionals. The Service provides workflow support tools such as checklists, scheduling, and documentation, but does not make autonomous clinical decisions.

Safety clearance gates, task reminders, and compliance checklists within the Service are designed to support—not replace—clinical judgment. Healthcare providers using the Service are solely responsible for verifying the accuracy and completeness of all clinical data and for making all treatment decisions.

5. Protected Health Information

The handling of Protected Health Information (PHI) through the Service is governed by the Business Associate Agreement (BAA) between AmyloidOps and your healthcare organization, as well as applicable provisions of HIPAA. In the event of a conflict between these Terms and the BAA regarding PHI, the BAA shall prevail. See our Privacy Policy for additional details.

6. Intellectual Property

The Service, including its software, design, text, graphics, logos, and all other content, is the property of AmyloidOps and is protected by copyright, trademark, and other intellectual property laws. Your organization’s subscription grants a limited, non-exclusive, non-transferable license to use the Service during the subscription term.

Your organization retains all rights to the clinical data entered into the Service. AmyloidOps does not claim ownership of your data.

7. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, updates, or circumstances beyond our control. We will use commercially reasonable efforts to provide advance notice of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • AmyloidOps shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of revenue, or interruption of clinical operations
  • Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the fees paid by your organization during the twelve (12) months preceding the claim
  • AmyloidOps is not liable for clinical outcomes, treatment decisions, or patient care that result from the use of or reliance on the Service

9. Indemnification

You and your organization agree to indemnify and hold AmyloidOps harmless from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your violation of these Terms; (b) your misuse of the Service; (c) clinical decisions made using the Service; or (d) your violation of applicable law or regulations.

10. Termination

Access to the Service is governed by the subscription agreement between AmyloidOps and your healthcare organization. We may suspend or terminate individual user access if we reasonably believe that the user has violated these Terms or poses a security risk. Provisions regarding intellectual property, limitation of liability, indemnification, and data handling survive termination.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to organizational administrators at least thirty (30) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the state in which AmyloidOps is headquartered, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.
